Terms of Service

These Terms of Service (“Terms”) govern the services provided by
Ellis Films LLC dba Visual Impact Solutions
(“we,” “us,” or “our”) and your use of those services as a client (“you” or “Client”). By engaging our services, you agree to abide by these Terms. Please read them carefully.
1. Services Provided
We offer content production, editing, consulting, advertising/ad management, and media strategy services for businesses, entrepreneurs, and organizations seeking to elevate their online presence. These services may include but are not limited to:
Strategic messaging and branding
Video production and editing
Advertising and ad management
Social media content strategy and consulting
Content distribution systems and automation support
2. Payment Terms
2.1 Reservation and Payments
To secure service dates and initiate work, a non-refundable deposit of 25% of the total project fee is required. While we do not require a signed agreement for standard service engagement, one may be provided upon request.
2.2 Accepted Payment Methods
We accept the following forms of payment:
Check
Debit/Credit Card (via Square)
PayPal
Venmo
Final deliverables will not be released until full payment has been received and cleared.
2.3 Non-Payment & Termination
If payment is not current, we reserve the right to pause or terminate services and any current agreement. Failure to remit payment may result in cancellation of any upcoming deliverables.

Travel and lodging requirements are discussed and agreed upon on a per-project basis

4. Production Guidelines
4.1 Filming & Drone Usage
We will use equipment and techniques appropriate to the project. Drone use is subject to FAA regulations and availability based on location, venue restrictions, and weather.
4.2 Music Licensing
We retain final approval over all music selections. If you request specific tracks, we will explore licensing options. If a license is not available, the track cannot be used.
4.3 Delivery & File Formats
Final videos are typically delivered in 1080p via cloud-based services such as Google Drive or Dropbox. Lower-resolution files for social media use may also be included upon request. Physical delivery (USB/DVD) is available for an additional charge.
5. Content Usage & Intellectual Property
5.1 Ownership
All content created by
Ellis Films LLC dba Visual Impact Solutions is the sole intellectual property of the company under U.S. Copyright Law. We retain full ownership unless otherwise agreed upon in writing.
5.2 Client License
Clients are granted
lifetime, non-exclusive rights to use final deliverables for business marketing, promotion, and internal use. Requests for raw files may be made for an additional fee and are subject to approval.
5.3 Promotional Use
You understand that we reserve the right to use any and all footage we produce for portfolio, marketing, or promotional purposes under the names Ellis Films LLC, Visual Impact Solutions, or other representations of ownership, as deemed appropriate.
6. Cancellation & Refunds
If you wish to cancel your project:
Notice must be provided in writingA 50% fee of the remaining project balance may apply depending on work completed to date
7. Shot Requests & Creative Control
We make every reasonable effort to capture key visuals as discussed. However, due to the
variable nature of events—especially live events—and production constraints
, we cannot guarantee the delivery of specific shots. Written shot lists must be submitted in advance, and the client is responsible for assisting in coordinating special moments during production.
8. Timeline & Turnaround
Final deliverables are typically completed within
6 weeks
of the production date or full payment—whichever is later. We will notify you of any changes or delays. Rush requests may be accommodated for an additional fee.
9. Limitation of Liability
We are not liable for any failure to perform due to external factors such as illness, acts of God, government restrictions, or technical failure. In the unlikely event that we cannot complete the project, our liability is strictly limited to the total amount paid for the specific project in question.
10. Force Majeure
Neither party shall be held liable for delay or failure to perform due to unforeseen events including, but not limited to:
Natural disasters
Acts of terrorism or war
Government restrictions
Public health crises
Power outages or major system failures
11. General Terms
11.1 Revisions & Modifications
We reserve the right to update these Terms at any time. Updates will be posted to our website and are effective upon publication.
11.2 Entire Agreement
These Terms, combined with any project proposal or communications, represent the full agreement between you and Ellis Films LLC dba Visual Impact Solutions.
